Publishing Rate Card

Rate Card and Royalty definition

The D Publishing Rate Card sets out the royalty structure for sales of the Work via the Core and Secondary Distribution Channels. Royalties are defined as the amounts remitted to the Author by D Publishing for sales of the Work via the Distribution Channels.

The Rate Card forms part of the Publishing Agreement entered into by each Author. At the time the Author enters into the Publishing Agreement, they will select:

  1. distribution through the Core Distribution Channel only; or
  2. distribution through the Core and Secondary Distribution Channels

By agreeing to the Publishing Agreement and the Rate Card, the Author appoints D Publishing as:

  1. Their exclusive distributor for Work via the Core Distribution Channel only; or
  2. (a) Their exclusive distributor for Work via the Core Distribution Channel;
    (b) Their exclusive distributor of the Work via Nominated Secondary Distribution Channels selected by D Publishing; and
    (c) Their non-exclusive distributor of the Work via other Secondary Distribution Channels.

If there is any inconsistency between the terms of this Rate Card and the Publishing Agreement, the terms of this Rate Card prevail.

Core Distribution Channels

D Publishing agrees to make PDF, EPub and printed Work (formats) available for sale via the following three Core Distribution Channels (as they apply to each format):

  1. Dymocks Online:
    1. Printed Work will be listed for sale on Dymocks Online and will Print on Demand.
    2. PDF Work will be listed for sale on Dymocks Online.
    3. EPub Work will be listed for sale on Dymocks Online.
  2. Dymocks Stores:
    1. Printed Work will be catalogued for distribution by the Dymocks bricks and mortar stores. Stock and sale of the Work is at the discretion of the individual franchise owners. Stock remains the property of the Author and will be fulfilled on a consignment basis, with unsold books being returned at the end of the consignment period. The number of books printed is at the discretion of the Author. Returns will remain the responsibility of the Author. Royalties will be calculated on sales of the Printed Work to Dymocks stores.
  3. Google™ eBooks:
    1. PDF Work will be listed for sale on Google eBooks.
    2. EPub Work will be listed for sale on Google eBooks

D Publishing may, from time to time, add a distribution method or channel to the Core Distribution Channels. However, where it does so after the Author accepts the Publishing Agreement the Author will be requested to agree to the addition of the Core Distribution Channel. If the Author does not agree to the Core Distribution Channel being added, it will not be applied to the Work for which the Agreement is valid.

Secondary Distribution Channels

Secondary Distribution Channels are all sale and Distribution Channels that are not specifically noted as Core Distribution Channels. There are two types of Secondary Distribution Channels:

  1. Nominated Secondary Distribution Channels, where D Publishing has an active presence and currently distributes. In these channels, D Publishing is the sole and exclusive distributor of the Work. (Note: D Publishing is not yet active in any Nominated Secondary Distribution Channels.)
  2. Secondary Distribution Channels, where D Publishing does not currently distribute but may in the future, for example, amazon.com. In these channels, the author is free to distribute the Work as they see fit.

In the event that D Publishing adds a channel to the Nominated Secondary Distribution Channels, D Publishing will notify the Author in writing and ask for their acceptance within 30 days. If the Author accepts the nomination, D Publishing then becomes the exclusive distributor of the Work in that channel. If the Author rejects the nomination, D Publishing will not distribute the Work via that Nominated Secondary Distribution Channel, but may elect to stop distributing via all Secondary Distribution Channels on the Author’s behalf. In this case, the licence for the Work in Secondary channels will revert to the Author.

Royalty Structure

Author royalties are calculated as follows: Cost Price minus the Publisher Fee minus the Cost of Fulfilment for each sale of the Work, where:

  1. Cost Price: is the List Price minus the retailer discount.
  2. Publisher Fee: the Publisher Fee covers the cost of sales and distribution.
  3. Cost of Fulfilment: is calculated as the per-unit cost to produce the Work for each Distribution Channel. There is no cost to produce PDF or EPub Work. Cost of Fulfilment is calculated in two ways for Printed Work:
    1. For Print on Demand sales: print cost calculated on a per book basis plus handling fee.
    2. For Author orders (including Dymocks Stores orders): includes print cost*, publisher fee, handling fee plus freight.
      *print cost may vary according to the format, paper and quantity required. Print costs may vary between print runs.
      Note: when the Author sets a Recommended Retail Price for the Australian market, this will be calculated as the List Price plus GST.

Note: D Publishing is not yet active in any Nominated Secondary Distribution Channels.

Default Rate

With the exception of Subsidiary Rights, for Distribution Channels that are not yet specified in this Rate Card D Publishing will take a Publisher Fee equivalent to 20% of the Cost Price.

Royalty Periods and Payment

Royalty periods occur biannually, ending 30 June and 31 December. At the end of each royalty period, D Publishing will issue a statement outlining the number of sales in each format and the total amount owing to the Author. Unclaimed royalties will be held for a period of 24 months only.

Returns

Fulfilling book orders for Dymocks bookstores is at the discretion of the Author who controls this process and pays for all associated costs. Should a Dymocks bookstore order copies of the printed Work, D Publishing will contact the Author to authorise the order and arrange for the books to be printed and dispatched to the store. Dymocks bookstores will then stock and sell books on a consignment basis, whereby the bookstore pays only for units sold. The royalty to the Author is therefore based on the total number of units sold.

Until sold, printed Work remain the property of the Author. In the event that copies of the printed Work are unsold (returned), D Publishing will contact the owner to pick up the stock or arrange for it to be dispatched to them. The costs for dispatch will be borne by the Author. Any unclaimed stock will be destroyed after 3 months. The costs of destroying stock will be borne by the Author.

Subsidiary Rights

Under the Publishing Agreement, Subsidiary Rights are classed as a Secondary Distribution Channel. Where D Publishing is granted a licence to distribute the Works in the Secondary Distribution Channels, D Publishing agrees to use reasonable commercial endeavours to commercialise Subsidiary Rights as opportunities become available. Should an opportunity for the commercialisation of Subsidiary Rights become available, D Publishing will contact the Author requesting consent to commercialise and with a timeline for response. Should the Author agree to the Subsidiary Rights being commercialised, they must promptly consent in writing, at which point Subsidiary Rights become a Nominated Secondary Distribution Channel. The fee payable to D Publishing for Subsidiary Rights will be an amount agreed in writing between D Publishing and the Author.
